Terms of Service

1. Acceptance of Terms

By accessing or using VerifyStack's fraud detection services ("Services"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Services

VerifyStack provides:

• Fraud detection and prevention API
• Device fingerprinting and behavioral analysis
• Risk scoring and decision recommendations
• Dashboard and analytics tools

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your API keys and account credentials. Notify us immediately of any unauthorized access.

4. Acceptable Use

You agree not to:

• Use the Services for illegal purposes
• Attempt to circumvent rate limits or security measures
• Reverse engineer or decompile the Services
• Share API keys or allow unauthorized access
• Use the Services to discriminate unlawfully
• Submit false or misleading data
• Resell the Services without authorization

5. Pricing and Payment

5.1 Fees: Fees are based on your selected plan and usage. Current pricing is available at verifystack.io/pricing.

5.2 Payment: Fees are billed monthly in advance. Overages are billed at the end of each billing cycle.

5.3 Taxes: Fees exclude applicable taxes, which you are responsible for paying.

5.4 Late Payment: Accounts with overdue payments may be suspended after 7 days notice.

6. Service Level Agreement

7. Intellectual Property

7.1 Our IP: We retain all rights to the Services, including algorithms, models, and documentation.

7.2 Your Data: You retain ownership of data you submit. You grant us a license to process your data to provide the Services.

8. Confidentiality

Both parties agree to keep confidential information private. This includes API keys, pricing terms, and technical documentation marked as confidential.

9. Limitation of Liability

9.1 Disclaimer: THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

9.3 Exclusions: WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

10. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of third-party rights
• Data you submit to the Services

11. Termination

11.1 By You: You may terminate at any time by closing your account. No refunds for prepaid fees.

11.2 By Us: We may suspend or terminate for breach of these Terms, non-payment, or illegal activity, with 7 days notice when possible.

11.3 Effect: Upon termination, your API access will be revoked. Data will be deleted per our retention policy.

12. Data Protection

Our Privacy Policy describes how we handle data. For enterprise customers, we offer a Data Processing Agreement (DPA) upon request.

You are responsible for ensuring you have proper legal basis to submit end-user data to our Services.

13. Modifications

We may modify these Terms with 30 days notice for material changes. Continued use after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of Delaware, USA. Disputes will be resolved through binding arbitration, except where prohibited by law.

15. Miscellaneous

15.1 Entire Agreement: These Terms constitute the entire agreement between you and VerifyStack.

15.2 Severability: If any provision is unenforceable, the remaining provisions remain in effect.

15.3 No Waiver: Failure to enforce a right does not waive it.

15.4 Assignment: You may not assign these Terms without our written consent.
